Essential Duties and Responsibilities include the following:
Primary duties will consist of providing sound and timely counsel to procurement and business functions of Hillenbrand and its operating companies in a variety of contract and vendor risk management topics (e.g., complex commercial contracts for both direct materials as well as indirect materials and services,  intellectual property, data privacy & protection, M&A supply chain review, etc.)

•    Serve as legal advisor in providing a balance of counsel – business, legal, and strategic to various departments seeking procurement assistance and managing all aspects of procurement contracting, vendor risk and privacy review
•    Manage the general administration of procurement contracts (starting from the request for proposal to termination of the contract and/or advising business on ensuring post-contractual terms are adhered to).
•    Structure, draft, review, and negotiate a variety of commercial agreements, and develop practical contract templates (e.g., data processing addendum and security guides, master purchase agreements, master service agreements, etc.), and policies and procedures.
•    Conduct privacy impact assessments and counsel the business regarding privacy and data protection compliance and other applicable risks with respect to use of vendors during the risk review process
•    Create and drive internal best practices and associated training with respect to contract lifecycle management and vendor risk management
•    Engaging directly with our vendors in response to privacy-related requests and questions, including Data Processing Agreements
•    Advise procurement and information security functions on the vendor risk management process and issues
•    Continually improve our legal commercial processes to help us scale globally with a consistent but locally relevant approach and to help the company to move quickly and thoughtfully
•    Provide practical advice on legal issues and risks, complex agreement structures, and company policies in a risk-tolerant, but compliance-oriented environment
•    Other duties may be assigned


Travel:
•    This is a Remote position.  Employee should be available to travel less than 10% of the time. 


Basic Requirements:
•    J.D. from accredited law school and licensed to practice law in at least one state in the United States
•    Minimum of 5years of applicable in-house or private practice experience.


Great to Haves:
•    Demonstrated ability to find business-practical solutions to complex contracting issues and to manage global supply management agreements and topics
•    Experience with global data privacy laws (including GDPR and CCPA), privacy programs and industry guidelines, including data transfer impact assessments and data security compliance
•    4+ years’ experience in commercial transactions and contract law with strong experience in structuring, drafting, reviewing, and negotiating a variety of commercial agreements, including technology transactions
•    2+ years’ experience drafting, reviewing, and negotiating privacy-related agreements (DPAs, CCPA terms, data security provisions, etc.)
•    High degree of professional ethics and integrity
•    Sound judgment, strong problem solving, reasoning and decision-making skills
•    Outstanding verbal & written communication & interpersonal skills; ability to communicate complex legal concepts in layman’s terms
•    Excellent business judgement, superior leadership skills, and strong commitment to providing timely and top-quality service with superior work product
•    Ability to thrive in a fast-paced environment, while juggling competing, time-sensitive demands
•    Ability to analyze risk across a broad spectrum of subject matters
•    In-House experience preferred (public company experience also preferred)
